AUTHOR AGREEMENT, GUIDELINES AND POLICIES

We are thrilled that you are submitting your eBook to www.eBookGuides4Life.com.
Please read and ensure you understand the Author Agreement, Guidelines and Policies below as well as our Privacy Statement (also found on the Submission Page), prior to commencing the Submission Process.

SUBMISSION GUIDELINES
a) We accept eBooks on all topics in many styles, (i.e. books, “how-to” guides, novels, collection of articles or poems, booklets, memoirs, etc.).
b) There is no listing fee to sell your eBook with 1831199 Ontario Inc., o/a eBookGuides4Life.
c) (i) 1831199 Ontario Inc., o/a eBookGuides4Life will pay you 50-60% (option of Author), of the listed selling price of your eBook for each eBook sold via download. (ii) If you have selected the Fundraising Option, you will receive 50% commission and you will then be responsible for distributing funds to your charity of choice accordingly. You will receive an e-mail notification upon every sale. (iii) If you have made your eBook available as a Free download, you will not receive a commission or a download notification.
d) Please be advised that if your eBook does not have an International Standard Book Number (“ISBN”), it will be assigned one upon acceptance. This allows all eBooks to be archived with the Canadian ISBN Service System (“CISS”). There is no cost for this service.
e) There are no minimum/maximum page requirements.
f) In keeping with our Mission Statement, we encourage work that is motivational, inspirational and helps move our readers forward in their lives.
g) When you submit your eBook, you grant 1831199 Ontario Inc., o/a eBookGuides4Life permission to sell, display and market your eBook.
h) When listing with 1831199 Ontario Inc., o/a eBookGuides4Life you retain all other rights to your eBook so that you are free to do anything you want with your eBook including full editorial control over your eBook and ownership of the copyright, selling, publishing, and distributing your eBook any way you choose. You retain ownership of the eBook.
i) We reserve the right to determine the final selling price for all eBooks submitted. The price of your eBook has been established based on market evaluation and 1831199 Ontario Inc., o/a eBookGuides4Life's pricing criteria. eBooks are generally priced less than paper books due to their lower production and distribution costs.
j) You will receive our response to your submission via email, therefore you MUST submit a valid email address.
k) In the event that any of your contact information changes in the future, please be sure to promptly e-mail the change to eBooks@eBookGuides4Life.com. Remember, it is your responsibility to keep all contact information current.
l) Please keep in mind that once your eBook has been listed on www.eBookGuides4Life.com any revisions, updates and/or re-writes will be accepted as a new version of your eBook. In this case, you will be required to re-submit the new version of your eBook and be issued another ISBN number.
m) If you require guidance with writing your eBook, click here to Register and download your FREE copy of “Tips on how to Write an eBook”.
n) Please ensure that your work has been proof-read and/or edited prior to submission. If you require assistance, please click here to be referred to an Editing Professional.
o) Your eBook must be submitted in downloadable PDF file format for our review. If you require assistance in converting your file to this format, please click here to be referred to a Conversion Professional.
p) You will be required to provide a brief biography to assist in the marketing/sales of your eBook.
q) We also encourage you to provide reviews and/or testimonials from your readers with your submission.
r) When submitting your eBook summary/description please ensure that it is informative and has correct spelling, punctuation and grammar.
s) If you do not have a graphic eBook cover to submit, we will insert a generic one for you.
t) If you submit electronic files labelled in a manner that does not reflect the content, please be advised that we may change the file name for marketing purposes (the title of your eBook will not be changed).
u) Please refer to our Pre-Submission Checklist for file size restrictions.
v) We reserve the right to refuse any submission without explanation.
w) 1831199 Ontario Inc., o/a eBookGuides4Life may terminate this Agreement with any Author, and will remove the eBook from our website without notice, for any reason including violation of any applicable law or regulation, copyright infringement, etc.

POLICIES
The following 1831199 Ontario Inc., o/a eBookGuides4Life policies are subject to change without notice. 1831199 Ontario Inc., o/a eBookGuides4Life will post notice of such changes on www.eBookGuides4Life.com and will attempt to notify all 1831199 Ontario Inc., o/a eBookGuides4Life Authors.
Copyright Infringements
1831199 Ontario Inc., o/a eBookGuides4Life supports copyrights, therefore you cannot post content that you don't own or have permission to publish on our website. We take allegations of copyright violations very seriously. If you believe that material on www.eBookGuides4Life.com violates your copyright, please send an email to the attention of the Digital Rights Management Officer at eBooks@eBookGuides4Life.com.
1831199 Ontario Inc., o/a eBookGuides4Life does not review all eBooks and it is our Policy upon a copyright complaint to immediately remove an eBook from our website and suspend sales of that eBook. 1831199 Ontario Inc., o/a eBookGuides4Life reserves the right to take legal action against Authors in violation of copyright laws.
The notification email must contain the following information:
1. Physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
2. Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit 1831199 Ontario Inc., o/a eBookGuides4Life to locate the material;
4. Information reasonably sufficient to permit 1831199 Ontario Inc., o/a eBookGuides4Life to contact the complaining party, such as an address, telephone number, and, if available an email address at which the complaining party may be contacted;
5. A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;
6. A statement, made under penalty of perjury, that the information in the notification is accurate and that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Author Commission Payments
1831199 Ontario Inc., o/a eBookGuides4Life will pay the Author either 50% or 60% of the selling price of the eBook (as per the option chosen by the Author) for all downloads of their eBook sold through 1831199 Ontario Inc., o/a eBookGuides4Life. 1831199 Ontario Inc., o/a eBookGuides4Life will maintain accurate records of eBook sales and will mail payment cheques to the Author’s contact address on a quarterly basis within thirty (30) days following the end of the quarter. The Author’s payment cheque must exceed $50 Canadian dollars in any quarter to trigger a pay-out. If one calendar year passes and the Author’s earnings do not exceed $50 Canadian, the payment cheque will be mailed for any amount that has been earned during that calendar year within thirty (30) days following the end of that calendar year.
For payment purposes, it is the Author's responsibility to notify 1831199 Ontario Inc., o/a eBookGuides4Life of any changes to their email address, postal address, phone number and/or contact information.
If you have made your eBook available as a Free download, you will not receive a commission.
If you have selected the Fundraising Option, you will receive 50% commission and you will then be responsible for distributing funds to your charity of choice accordingly. 1831199 Ontario Inc., o/a eBookGuides4Life does not necessarily endorse the Author’s choice of fundraiser or charity. 1831199 Ontario Inc., o/a eBookGuides4Life will not be held liable for any funds collected by the Author and remitted to their fundraisers or charities. The Author is solely responsible for all remittances of funds to their designated fundraiser/charity.
Refunds
There are no refunds possible to purchasers of eBooks from 1831199 Ontario Inc., o/a eBookGuides4Life and any requests for refunds will be denied by 1831199 Ontario Inc., o/a eBookGuides4Life.
1831199 Ontario Inc., o/a eBookGuides4Life may, on occasion, change their Guidelines and Policies and will post a notice regarding such changes on www.eBookGuides4Life.com. You are encouraged to review these Guidelines and Policies on a regular basis.

AUTHOR AGREEMENT
1.Legal Agreement
a) Please read the terms and conditions of this Agreement carefully, as submission of your eBook to 1831199 Ontario Inc., o/a eBookGuides4Life represents acceptance of these terms and creates a binding Agreement effective the date of submission. By checking the box on the Submission Form you agree to these terms and accept them as they are presented to you; no changes (additions/deletions) will be accepted by 1831199 Ontario Inc., o/a eBookGuides4Life.
b) This Agreement constitutes a binding, legal agreement ("Agreement"), between you; the Author, Owner or Authorized Agent of the copyrights (referred herein as the “Author” or “You”) and 1831199 Ontario Inc., o/a eBookGuides4Life and also referred herein as www.eBookGuides4Life.com and is not transferable or cannot be assigned to any third party.
c) Any reference made to eBookGuides4Life, eBookGuides4Life.com, www.eBookGuides4Life.com applies to 1831199 Ontario Inc., o/a eBookGuides4Life. In each and every instance where eBookGuides4Life, eBookGuides4Life.com and www.eBookGuides4Life.com are mentioned in this Agreement, anywhere on this website or in any prior or future communication to you, it is to be replaced with 1831199 Ontario Inc., o/a eBookGuides4Life. In all other respects, the Agreements are confimed.
d) You understand and agree that 1831199 Ontario Inc., o/a eBookGuides4Life and the Author are separate entities and nothing in this Agreement designates either party as the employee, agent, legal or sales representative, franchisee, partner or joint venture of the other party for any purpose whatsoever.
e) The Author agrees that this Agreement is a legal, valid and binding obligation, and that its terms and conditions are enforceable. By submitting an eBook to 1831199 Ontario Inc., o/a eBookGuides4Life, the Author also confirms that they have the full authority and power to enter into this contract and perform in accordance with the terms and conditions of the Agreement.
f) You must be at least 18 years of age and have the legal capacity to enter into this Agreement.
g) When you submit your eBook, you grant 1831199 Ontario Inc., o/a eBookGuides4Life permission to sell, display and market your eBook.
h) 1831199 Ontario Inc., o/a eBookGuides4Life supports copyrights, therefore you cannot list content or an eBook that you don't own or have permission to publish on our website.
i) When listing with 1831199 Ontario Inc., o/a eBookGuides4Life you retain all other rights to your eBook so that you are free to do anything you want with your eBook including full editorial control over your eBook and ownership of the copyright, selling, publishing, and distributing your eBook any way you choose. You retain ownership of your eBook.
j) This Agreement is governed by the laws of Ontario, Canada. The parties agree that any dispute arising out of this Agreement that cannot be settled by good faith negotiation will be resolved in Ontario, Canada.
k) In the event that in any legal proceedings, it is determined that any section, provisions, paragraph or sub-paragraph of this Agreement is invalid or unenforceable, it will be deemed to be severed from the remainder of this Agreement for the purpose only of the particular proceeding. This Agreement will, in every other respect continue in full force and effect.
l) This Agreement does not conflict with any contracts, arrangements or agreements between you and any other party, person or entity.
m) 1831199 Ontario Inc., o/a eBookGuides4Life may, on occasion, change the terms in this Agreement and will post a notice regarding such change(s) on www.eBookGuides4Life.com and will notify you to visit www.eBookGuides4Life.com to review the revised Agreement. Your non reply indicates acceptance of the terms and conditions of the revised Agreement. If you do not agree to be bound by these changes and any future changes, you should, without delay, notify 1831199 Ontario Inc., o/a eBookGuides4Life and request that your eBook be removed from www.eBookGuides4Life.com.
n) Authors are encouraged to print and keep a copy of this Agreement as well as any further Amended Agreements, for reference.
2.eBook Content and Terms
By listing your eBook with 1831199 Ontario Inc., o/a eBookGuides4Life you represent and warrant at all times during the term of this Agreement, that:
1. You are the Author, Owner or Authorized Agent (referred herein as the “Author”) of the copyrights to the eBook and all the content contained in the eBook that your are submitting. The Author guarantees that neither the eBook or any rights or licenses granted by this Agreement will (i) violate any contract by which the Author is bound or any applicable law or regulation or (ii) violate or misappropriate any copyright, trademark, trade secret or other intellectual property rights of any third party.
2. Your eBook does not contain any personal or private information about any individual other than you unless consensual agreements have been secured, and does not invade any individual's right of privacy or publicity. 1831199 Ontario Inc., o/a eBookGuides4Life is not liable for any damage that may be incurred due to use of personal or private information that was made available as part of the eBook listed on our website.
3. The use of your personal information in the content of your eBook will be widely available to other users. 1831199 Ontario Inc., o/a eBookGuides4Life does not exercise any control over those users. If you do not want your personal information to be displayed as part of your eBook you list with us, then you must delete it prior to submitting it. 1831199 Ontario Inc., o/a eBookGuides4Life shall not be held liable for any damage that may be caused by the use of personal information that was made available in the material or content of the eBook listed on www.eBookGuides4Life.com.
4. If you include any personal information in your eBook, you authorize 1831199 Ontario Inc., o/a eBookGuides4Life to disclose that personal information as part of the eBook. 5. Your eBook does not contain any material that is ought to be reasonably known as offensive, abusive, unlawful, defamatory, invasive of publicity and privacy rights, pornographic, obscene or promotes spam or illegal activities.
6. You are responsible for adhering to all local and national laws that pertain to your location, wherever you are.
7.Your eBook does not include malicious code, including but not limited to computer viruses, worms, or any other computer programming routines or automated or semi-automated processes that may interfere with, damage, intercept, or corrupt any system, data, program, or personal information.
8. All factual information in your eBook is accurate and true and the use of any formula, recipe, direction or instruction will not result in personal injury to any person. 1831199 Ontario Inc., o/a eBookGuides4Life will not be held liable as it cannot guarantee the integrity, accuracy or quality of the eBook.
9.Your eBook does not offer or disseminate fraudulent goods, services, promotions or schemes.
10.Your eBook does not violate the law or any applicable regulation nor does it promote or encourage unlawful actions or violations of 1831199 Ontario Inc., o/a eBookGuides4Life's rules or policies.
11. This Agreement does not conflict with any contracts, arrangements or agreements between you and any other party, person or entity.
12. You must be at least 18 years of age and have the legal capacity to enter into this Agreement and have the power and authority to perform in accordance with the terms and conditions of this Agreement.
3. Author Commission
1831199 Ontario Inc., o/a eBookGuides4Life will pay the Author either 50% or 60% of the selling price of their eBook (as per the option chosen by the Author at the time of the eBook submission) for all downloads of their eBook sold through www.eBookGuides4Life.com.
The Author has the option to choose one of the following:
Option A
50% Commission: Includes all the benefits of listing their eBook with 1831199 Ontario Inc., o/a eBookGuides4Life, including marketing and administration PLUS a link to their email and/or website. This is a great way for Authors to promote their business and improve their link popularity with Google. Authors will receive 50% of the price of their eBook for every single download sold.
Option B
60% Commission: Includes all the benefits of listing your eBook with 1831199 Ontario Inc., o/a eBookGuides4Life, including marketing and administration. The Author will receive 60% of the price of their eBook for every single download sold.
Free Option
Or, make your eBook available as a Free download to promote yourself or your business. If you have selected the Free download option, you will not receive a commission.
Fundraising Option
If you have selected the Fundraising Option, you will receive 50% commission and you will then be responsible for distributing funds to your charity of choice accordingly. 1831199 Ontario Inc., o/a eBookGuides4Life does not necessarily endorse the Author’s choice of fundraiser or charity. 1831199 Ontario Inc., o/a eBookGuides4Life will not be held liable for any funds collected by the Author and remitted to their fundraisers or charities. The Author is solely responsible for all remittances of funds to their designated fundraiser/charity.
The Author acknowledges that he/she has read and understands the Commission Options and agrees that modifications and amendments may occur at the discretion of 1831199 Ontario Inc., o/a eBookGuides4Life.
4. Indemnification
If someone files a statement of claim or any legal action against 1831199 Ontario Inc., o/a eBookGuides4Life as a result of your action or omission which was in violation of this Agreement, you agree to compensate 1831199 Ontario Inc., o/a eBookGuides4Life for any related damages or costs sustained or incurred by 1831199 Ontario Inc., o/a eBookGuides4Life. For clarity, you shall indemnify and hold 1831199 Ontario Inc., o/a eBookGuides4Life harmless against any and all third party actions, causes of actions, complaints, contracts, covenants whether expressed or implied, claims and demands for damage (direct, indirect and consequential), judgements, losses, costs, interest, legal fees and expenses that 1831199 Ontario Inc., o/a eBookGuides4Life may sustain or incur in any way related to any violation, misrepresentation or breach of the terms or conditions of this Agreement.
5.Proprietary Rights
1831199 Ontario Inc., o/a eBookGuides4Life is the owner of all intellectual property rights including all trademarks, logos, copyrights and patents associated with 1831199 Ontario Inc., o/a eBookGuides4Life with all rights reserved, exclusive of the content submitted by third parties and is protected by copyright and other intellectual property laws.
All trade names, trademarks, patents, copyrights, service marks, certification marks and other product and service names and logos (collectively referred herein as “Marks”) found on eBookGuides4Life.com and within the content submitted by third parties are proprietary to their respective owners and are also protected by applicable copyright and intellectual property laws. All Marks must remain affixed to any materials downloaded from www.eBookGuides4Life.com.
1831199 Ontario Inc., o/a eBookGuides4Life also owns the design, format and layout of the www.eBookGuides4Life.com website.
Nothing contained on www.eBookGuides4Life.com shall be construed as a grant of any license or right to use without the expressed written permission of 1831199 Ontario Inc., o/a eBookGuides4Life or the third party eBook Author, Owner or Authorized Agent. Any unauthorized use of Marks on www.eBookGuides4Life.com or within the content (eBooks submitted by a third party) or any other intellectual property as described herein is strictly prohibited.
All content submitted by third party or any intellectual property found on www.eBookGuides4Life.com may not be reproduced, retransmitted, or distributed in any form without the prior written consent of 1831199 Ontario Inc., o/a eBookGuides4Life or its respective third party eBook Author, Owner or Authorized Agent.
6. Limitation of Liability
The Author warrants that 1831199 Ontario Inc., o/a eBookGuides4Life shall not be held liable for damages caused by misuse or unlawful distribution of the Author’s eBook by customer or third party, selling, marketing, promoting, displaying, distributing and/or transmitting the Author’s eBook and/or its content.
The Author is responsible for all eBooks submitted to 1831199 Ontario Inc., o/a eBookGuides4Life and agrees that 1831199 Ontario Inc., o/a eBookGuides4Life shall not be held responsible for backing up or storing your eBook or for any corruption, inadvertent damage, or loss of content to your eBook.
1831199 Ontario Inc., o/a eBookGuides4Life reminds Authors that they are responsible for compliance with applicable legislations and regulations in respect to taxes that may be payable within their own jurisdiction.
The Author accepts full responsibility for content in their eBook and shall hold 1831199 Ontario Inc., o/a eBookGuides4Life harmless from all claims, expenses and damages related to their eBook, content or material contained therein.
In no event shall 1831199 Ontario Inc., o/a eBookGuides4Life or any of its officers, respective directors, partners, employees, servants and agents and their successors and assign, affiliates, or third-party licensors and content providers be liable to the Author or anyone else for any direct, indirect or consequential damages including but not limited to loss of profits, sales or business, whether directly or indirectly related to or arising out of activity on www.eBookGuides4Life.com, content on www.eBookGuides4Life.com or any agreement entered hereunder whether in contract or otherwise even if 1831199 Ontario Inc., o/a eBookGuides4Life or one of its officers, respective directors, partners, employees, servants and agents, affiliates, or third-party licensors has been advised of the possibility of such damages. Any action under this Agreement is subject to statutory limitations as per the laws of the Province of Ontario, Canada.
1831199 Ontario Inc., o/a eBookGuides4Life shall not be obligated or held liable with respect to the subject matter of the terms and conditions of this Agreement or any other agreement, contract, negligence, strict liability or other legal or equitable theory for any amounts in excess in the aggregate of the fees paid to it with respect to the Author’s eBook and its content or for any incidental or consequential damages.
1831199 Ontario Inc., o/a eBookGuides4Life shall not be held liable for any damage that may be caused by the use of personal information that was made available in the material or content of the eBook listed on www.eBookGuides4Life.com.
Operation of Website
7. Operations of www.eBookGuides4Life.com
1831199 Ontario Inc., o/a eBookGuides4Life does not make any representation or guarantees that the website will always operate in a timely, uninterrupted or error-free manor. 1831199 Ontario Inc., o/a eBookGuides4Life expects that maintenance, technical and other issues may arise from time to time. 1831199 Ontario Inc., o/a eBookGuides4Life endeavours to continuously improve the look and format of the website and will do so at its discretion without notice to our Authors/Users. 1831199 Ontario Inc., o/a eBookGuides4Life also reserves the right to place advertisements on the website. 1831199 Ontario Inc., o/a eBookGuides4Life therefore retains all rights to any other function of management not otherwise specifically covered in this Agreement.
8. Termination of Agreement
a) 1831199 Ontario Inc., o/a eBookGuides4Life reserves the right to terminate or suspend this Agreement immediately for any reason without prior notice.
b) Upon termination 1831199 Ontario Inc., o/a eBookGuides4Life will provide full payments due up to the termination of the Agreement and will pay the Author no later than thirty (30) days following the end of the quarter in which the termination occurred.
c) Upon removal of your eBook from www.eBookGuides4life.com, certain provisions of the terms of this Agreement survive the termination of this Agreement including but not limited to articles related to payment, commission, liability and limitation, copyrighting, indemnification, residual rights or amendments. Your eBook will be removed from www.eBookGuide4Life.com eBook Store in due course.
d) Removal of your eBook as described above does not in any way amend, suspend, or terminate Agreements entered upon for submissions of other eBooks you have listed on www.eBookGuides4Life.com. Accordingly the terms and conditions of those Agreements remain applicable.
e) eBooks that have been removed from eBookGuides4Life.com eBook Store will continue to be accessible on the website in the personal accounts of customers that have purchased your eBook prior to termination.
f) 1831199 Ontario Inc., o/a eBookGuides4Life reserves the right to retain all eBooks for archival purposes. 1831199 Ontario Inc., o/a eBookGuides4Life retains your personal information for as long as is reasonably required to meet legislative requirements or for purposes for which it was collected.
g) 1831199 Ontario Inc., o/a eBookGuides4Life does not retain any property rights to eBooks that are removed from its site other than the provisions outlined above.
You state that you have read the entire Agreement and understand its contents. You further acknowledge that you relied upon your own sources of information in signing this Agreement, by way of checking the box on the Submission Form, and that you did not rely on any assertions, promises, or information from 1831199 Ontario Inc., o/a eBookGuides4Life other than the terms of this Agreement.
1831199 Ontario Inc., o/a eBookGuides4Life reserves the right to amend this Agreement, Guidelines and its Policies from time to time at its sole discretion.
